TrustRail provides an AI compliance platform and professional services to help organizations achieve compliance with AI regulations including the EU AI Act, ISO 42001, NIST AI RMF, and NYC LL144. Our Services include:

• AI system discovery and inventory management
• Compliance assessment and gap analysis
• Risk management and bias testing
• Documentation and evidence management
• Professional guidance through expert playbooks

3. User Accounts and Registration

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as necessary
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

4. Professional Services

Professional services are provided subject to separate engagement agreements. While we strive to provide accurate and helpful compliance guidance, our Services:

• Do not constitute legal advice
• Do not guarantee regulatory approval or compliance certification
• Should be reviewed by your legal and compliance teams
• Are based on regulations as understood at the time of service delivery

5. Intellectual Property Rights

Our Property

TrustRail and its licensors own all rights, title, and interest in the Services, including all software, playbooks, methodologies, documentation, trademarks, and other intellectual property.

Your Data

You retain all rights to data you provide to our Services. By using our Services, you grant us a limited license to use your data solely to provide and improve our Services.

6. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of our Services
• Interfere with or disrupt the integrity or performance of our Services
• Reverse engineer, decompile, or disassemble any part of our Services
• Use our Services to transmit viruses, malware, or harmful code
• Misrepresent your identity or affiliation
• Share your account credentials with unauthorized parties

7. Fees and Payment

Fees for our Services are determined through separate engagement agreements. Payment terms include:

• Fees are due as specified in your agreement
• All fees are in U.S. dollars unless otherwise stated
• Late payments may incur additional charges
• Refunds are subject to the terms of your specific agreement

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and confidential information shared during the provision of Services, subject to separate confidentiality agreements where applicable.

9. Warranties and Disclaimers

Limited Warranty: We warrant that our Services will be provided with reasonable skill and care in accordance with industry standards.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUSTRAIL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO TRUSTRAIL IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TrustRail from any claims, damages, losses, liabilities, and expenses arising from your use of our Services or violation of these Terms.

12. Term and Termination

These Terms remain in effect while you use our Services. We may suspend or terminate your access to our Services:

• If you breach these Terms
• If required by law
• Upon reasonable notice for any reason

Upon termination, provisions that by their nature should survive (including confidentiality, intellectual property rights, disclaimers, and limitations of liability) will continue to apply.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution
